1. Agreement to These Terms
These Terms of Service ("Terms") govern your access to and use of batchledger.io (the "Site") and the BatchLedger WordPress plugin in all editions, free and paid (the "Plugin"). The Site and Plugin are provided by [Legal Entity Name] ("BatchLedger," "we," "us," or "our").
By accessing the Site, downloading the Plugin, or purchasing a license, you agree to these Terms. If you do not agree, do not use the Site or Plugin.
2. Eligibility
You must be at least 18 years old and capable of entering into a binding contract to use the Plugin. If you are using the Plugin on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. License and Subscription
3.1 Free edition
The free edition of the Plugin distributed via WordPress.org is licensed under the GNU General Public License v2 or later (GPL). You may use, modify, and redistribute the free edition consistent with the terms of the GPL.
3.2 Paid editions
Pro, Agency, and Pro+ editions are sold through our payments and licensing partner Freemius. Each license entitles you to:
- Activate the Plugin's premium features on the number of WordPress sites specified by your tier (Pro: 1 site; Agency: up to 5 sites; Pro+: up to 25 sites).
- Receive automatic updates to the paid edition for the duration of your active subscription.
- Receive support according to the level associated with your tier.
Paid licenses are annual subscriptions that auto-renew unless cancelled before the renewal date. Premium feature activation requires a valid, active license; updates and premium features will stop functioning when a license lapses, but the underlying GPL-licensed code remains usable.
3.3 Restrictions
You may not:
- Resell, sublicense, or redistribute paid-edition license keys.
- Use a single license on more sites than your tier allows.
- Use the Plugin to violate applicable law or any third party's rights.
- Misrepresent test results, falsify Certificates of Analysis, or otherwise use the Plugin to commit fraud.
4. Acceptable Use
You agree not to:
- Reverse-engineer, scrape, or interfere with the Site's normal operation.
- Probe, scan, or test the vulnerability of the Site without written permission.
- Send unsolicited communications to addresses surfaced through the Site.
- Upload or distribute malware, harmful code, or unlawful content via any service we provide.
5. Payment, Refunds, and Renewals
5.1 Pricing
Current pricing for paid editions is listed at batchledger.io/#pricing. We may change pricing at any time; price changes will not affect the current term of an existing subscription.
5.2 Refunds
We offer a 7-day money-back guarantee on initial purchases of paid editions. If you are not satisfied within 7 days of purchase, contact us via the address in Section 16 and we will issue a full refund. Refund processing is handled by Freemius and may take several business days to appear on your statement. Renewals are not eligible for the 7-day refund window.
5.3 Auto-renewal
Annual subscriptions auto-renew at the then-current price unless cancelled before the renewal date. You can cancel auto-renewal in your Freemius customer dashboard.
5.4 Taxes
Prices are exclusive of applicable taxes. Freemius collects taxes where required as merchant of record.
6. Your Responsibilities as a Plugin Operator
BatchLedger is a self-hosted WordPress plugin. When you install the Plugin on your WordPress site, you are responsible for:
- Hosting, securing, and maintaining your WordPress installation.
- The accuracy and integrity of any Certificates of Analysis, batch numbers, lab metadata, and other data you upload through the Plugin.
- Compliance with all laws applicable to your business and your products, including any consumer-disclosure or labeling requirements in your jurisdiction.
- Obtaining necessary permissions from laboratories or other parties whose data you publish.
- Privacy disclosures owed to your own customers and visitors.
BatchLedger is a tool. The veracity of the data you publish through it is your responsibility.
7. Intellectual Property
"BatchLedger," the BatchLedger logo, the Site's content, and any trademarks displayed on the Site are owned by us or our licensors. Free-edition source code is licensed under GPL as described in Section 3.1. Paid-edition code is provided under license; the code itself remains the intellectual property of [Legal Entity Name].
You retain ownership of all content you upload to your own WordPress site through the Plugin.
8. Third-Party Services
The Site and Plugin integrate with third-party services including Google Analytics (analytics), Freemius (licensing and payments), Calendly (enterprise scheduling), and Google Cloud Vision (Pro-tier OCR). Your use of those services is governed by their respective terms and privacy policies. We are not responsible for the acts or omissions of third-party services.
9. Disclaimer of Warranties
The Site and Plugin are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
We do not warrant that the Site or Plugin will be uninterrupted, secure, or error-free, that defects will be corrected, or that the results obtained from use will be accurate or reliable.
SHA-256 verification is a cryptographic integrity check, not a guarantee that any underlying laboratory result is accurate. The Plugin verifies that a PDF has not been altered since it was hashed; it does not verify the content of the laboratory's testing.
10. Limitation of Liability
To the maximum extent permitted by law, in no event will BatchLedger, its affiliates, or its licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to lost profits, lost revenue, lost data, or business interruption, arising out of or related to the Site or Plugin, even if advised of the possibility of such damages.
Our total cumulative liability for all claims arising out of or related to the Site or Plugin will not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred US dollars (US$100).
11. Indemnification
You agree to defend, indemnify, and hold harmless BatchLedger and its officers, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Site or Plugin in violation of these Terms; (b) the data you upload, publish, or transmit using the Plugin; or (c) your violation of any law or any third-party rights.
12. Termination
We may suspend or terminate your access to the Site, your paid license, or both, at our reasonable discretion if you breach these Terms. You may stop using the Site and Plugin at any time. Termination does not entitle you to a refund except as provided in Section 5.2.
Sections that by their nature should survive termination (Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and these survival provisions) survive any termination of these Terms.
13. Governing Law
These Terms are governed by the laws of [Governing State], United States, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
14. Dispute Resolution
Any dispute arising out of or related to these Terms or the Site or Plugin will first be addressed by good-faith negotiation. If unresolved within 30 days, the dispute will be brought exclusively in the state or federal courts located in [County, State], and you consent to personal jurisdiction in those courts.
